• Project Proposals: All Request for Quotations (RFQs) and project proposals are valid for 30 days unless otherwise stated in writing.
• Scope Changes: Any modifications to the initial CAD designs, engineering specs, or manufacturing volumes after a contract is signed may result in adjusted timelines and additional costs.
• Prototyping vs. Production: Prototypes are developed for functional testing and validation. Full-scale manufacturing guarantees apply only after prototype approval and sign-off.

2. Intellectual Property Rights

We respect the intellectual property (IP) of our clients and protect our own proprietary technologies:

• Client IP: All technical drawings, CAD models, and proprietary data provided by the client remain the exclusive property of the client.
• Aventrox IP: Pre-existing frameworks, proprietary software, and internal manufacturing methodologies utilized during the project remain the property of Aventrox.
• Deliverables: Upon full payment of all project invoices, the rights to the final custom deliverables are transferred to the client, subject to the specific terms of the individual project agreement.

3. Confidentiality and NDAs

Given the sensitive nature of industrial engineering, we strictly adhere to confidentiality protocols. We routinely execute Non-Disclosure Agreements (NDAs) prior to discussing proprietary project details. Even in the absence of a formal NDA, we treat all submitted project files and corporate data with the highest level of commercial secrecy.

4. Payment Terms

Financial arrangements will be clearly outlined in your specific project contract. Standard terms include:

• An initial mobilization advance is required before the commencement of engineering or procurement.
• Subsequent payments are tied to agreed-upon project milestones (e.g., design approval, prototype delivery, pre-shipment).
• Invoices are payable within 15 days of receipt unless a distinct corporate credit agreement has been established.

5. Limitation of Liability

While Aventrox adheres to rigorous quality control and industry-certified testing, our liability is limited to the scope of the specific service provided. We shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, arising from the use or inability to use the manufactured products or software systems, beyond the total value of the specific project contract.
